Example data. Assess the available termination paths

  • §12.1 · Ordinary termination: Either party may terminate on 90 days’ prior written notice.
  • §12.2 · Material breach: Immediate termination is available if a notified material breach remains uncured.
  • §12.3 · Insolvency: The other party may terminate if a party becomes insolvent.

Agent recommendation: The ordinary route requires 90 days’ written notice. Immediate termination should be considered only if the material breach and notice conditions are evidenced.

Review finding: The agreement does not state a cure period. Confirm the breach notice and cure evidence before relying on §12.2.

Team review: Proceed with ordinary termination. Legal review requested before the 90-day notice is prepared. Decision recorded · Assessment note v1.
